Terms of Service

These Terms are a contract between you (the Customer — an individual, law firm, or other legal entity) and Yaroslav Baienko, the individual operator of LexiPanel (the Provider).

Where the Customer is a law firm or legal entity, the individual accepting these Terms represents that they have authority to bind the entity.

Creating an account, starting a free trial, or paying a subscription fee constitutes acceptance of these Terms. These Terms, together with the Privacy Policy and (for Enterprise) the Data Processing Addendum, form the complete agreement between the parties.

LexiPanel is a web-based legal-practice management platform with billable-time tracking, matter P&L, matter management, AI-assisted legal research, market intelligence, and dashboards.

The Service is offered in three tiers — Enterprise, Firm, Solo — described on the Pricing page. A 14-day free trial is available without credit card.

Subscriptions are billed monthly or annually in advance via Stripe Checkout. Invoices are issued by Stripe and available in your account dashboard.

A 14-day unconditional refund is available on any paid tier. Email zerhug@gmail.com with your subscription ID; processed within 48 hours via Stripe.

Prices are listed in EUR. Applicable taxes (including Ukrainian VAT where applicable) are added at checkout.

Price changes require 60 days' notice by email; the historical rate is grandfathered for the remainder of your current billing cycle.

You retain all rights in the data you submit to the Service (your Matter Content). You grant the Provider a limited, non-exclusive licence to host, process, and display that data solely to operate the Service.

The Provider processes personal data as described in the Privacy Policy. Enterprise customers may execute a Data Processing Addendum (DPA) on request.

You are responsible for having a lawful basis to upload personal data of third parties (clients, counterparties) into the Service, and for any necessary notices to those parties.

You will not: (a) use the Service for illegal activity; (b) circumvent multi-tenant isolation or attempt to access other tenants' data; (c) reverse-engineer, decompile, or attempt to extract source code; (d) upload malware or content intended to harm other users; (e) scrape the Service beyond documented rate limits; (f) resell or white-label the Service without an Enterprise-tier agreement permitting it.

We may suspend or terminate your access immediately if you materially breach this section, with notice.

All rights in the Service, including its source code, user interface, designs, documentation, and trademarks, are reserved by the Provider. The Service is proprietary software. Customer's use is licensed, not sold.

Nothing in these Terms grants the Customer any ownership, licence, or right in Provider intellectual property beyond the limited right to use the Service during the subscription term.

Customer feedback and suggestions may be used by the Provider without restriction to improve the Service.

LexiPanel's AI features assist with legal research but do not constitute legal advice. Output must be independently verified by the qualified lawyer using the Service before any reliance or disclosure to a client.

The Provider is not liable for legal, regulatory, or professional-responsibility consequences arising from unverified use of AI output.

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

This section does not limit statutory rights of consumers under Ukrainian or EU law where those rights cannot be waived.

To the fullest extent permitted by applicable law, the Provider's total aggregate liability arising out of or relating to these Terms or the Service is limited to the total fees paid by Customer to Provider in the twelve (12) months preceding the event giving rise to the claim.

Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or business.

These limitations do not apply to liability that cannot be limited under Ukrainian law, including liability for wilful misconduct or gross negligence.

Subscriptions renew automatically each billing cycle until cancelled.

Either party may cancel at the end of the then-current billing cycle by 30 days' notice. Customer may cancel at any time from the account dashboard.

The Provider may suspend or terminate the Service with notice for non-payment, material breach (with 30-day cure for curable breaches), or threats to Service security.

On termination, Customer may export Matter Content for 30 days. After that, data is deleted in accordance with the Privacy Policy.

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws principles.

Disputes are subject to the exclusive jurisdiction of the competent courts of Kyiv, Ukraine, unless an Enterprise agreement substitutes international arbitration.

Nothing in this section limits a consumer's right to bring proceedings in their habitual residence under mandatory EU consumer-protection rules.

We may update these Terms. Material changes will be announced by email to active account holders with at least 60 days' notice. Continued use of the Service after the effective date of an update constitutes acceptance. If you do not accept an update, you may cancel without penalty before the effective date.
